2024 marks an important turning point with a series of new laws and amendments enacted to create a more transparent legal framework for the\u00a0M&A<\/a>\u00a0(Mergers and Acquisitions) market, particularly in real estate and other key sectors. These policies are expected to help unlock investment flows and create favorable conditions for both domestic and foreign investors to participate in the market in 2025.<\/strong><\/p>

Nguyen Van Dinh, Vice President of the Vietnam Real Estate Association (VNREA), noted that laws such as the amended Land Law, the amended Housing Law, and the amended Real Estate Business Law have improved the legal environment for M&A transactions. These new laws not only address challenges faced by buyers and sellers but also open opportunities for capable investors.<\/p>

Dinh predicts that the real estate M&A market in the 2025-2026 period will be vibrant, with the emergence of more diverse and higher-quality products.<\/p>

Important Upcoming Laws<\/h2>

At the eighth session of the XV National Assembly, several important bills will be considered and passed, which are expected to have a strong impact on the M&A market. These include amendments to the Pharmaceutical Law, the Planning Law, the Investment Law, the Bidding Law, and the Securities Law, all of which will directly affect the investment process and the execution of M&A deals.<\/p>

Notably, the amendments related to public investment methods, public-private partnerships (PPP), and national financial policies will create a more open investment environment.<\/p>

Additionally, in 2025, anticipated laws such as the Digital Technology Industry Law, the Data Law, and the amended Public Investment Law will further strengthen the legal framework, enhancing competitiveness and attracting more investment into high-tech industries and strategic sectors.<\/p>

Building Investor Confidence<\/h2>

One of the highlights this year is the amendment to the Securities Law, along with the upgrading of Vietnam\u2019s stock market. This upgrade not only supports the growth of the stock market but also positively impacts other sectors, including M&A.<\/p>

Foreign investors are keenly interested in the development of the stock market, viewing it as an important indicator of economic stability and liquidity. A strong stock market will create new investment opportunities, not only in securities but also in sectors such as finance, real estate, and energy. The market upgrade could attract around USD 30 billion into the economy, providing a significant boost for\u00a0M&A<\/a>\u00a0activities.<\/p>

New Policies Creating Favorable Conditions for M&A<\/h2>

Amendments to laws like the Public Investment Law and the Investment Law will simplify procedures and create favorable conditions for M&A projects, particularly those involving high-tech elements or strategic investors. Nguyen Hoang Long, Deputy CEO of Gelex Group, commented that expanding the scope of PPP projects would create many new opportunities, especially in sectors like healthcare and infrastructure.<\/p>

Moreover, the amendment to the Public Investment Law will help balance profits and risks, creating a more transparent and attractive investment environment for both domestic and foreign investors. These legal revisions have resolved many bottlenecks in selecting investors and appraising projects, thus boosting the M&A market\u2019s growth.<\/p>
